Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Logidex platform, operated by Logidex (“Logidex,” “we,” “us,” or “our”). By accessing or using Logidex, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Acceptance of Terms
By creating an account or using any part of the Logidex service, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of yourself or your organization, and have read and understood these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Account Registration
To use Logidex you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your password secure and confidential.
- Notify us immediately at taylor@logidexhq.com of any unauthorized use of your account.
You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.
3. Subscription Billing
Logidex is offered on a subscription basis with flat monthly plans. Every plan includes the full feature set; plans differ by capacity, not by which features are available. The following terms apply:
- What you pay for (“active staff”): Your plan is priced on the number of staff to whom you have granted portal access — that is, staff you have invited and who have a login. People recorded in your roster without portal access are not counted and are free, in any number.
- Free trial: New organizations receive a 30-day free trial that begins when you first assign a staff member to a shift, or 14 days after signup if you have not done so by then. During the trial your account operates at the plan tier matching your roster size, and no payment method is required. If you do not select a paid plan, your account becomes read-only as described in Section 3a.
- Additional staff and admin seats:Active staff beyond your plan’s included limit are billed at $5 per staff member per month. Admin seats beyond your plan’s included seats are billed at $7 per seat per month. These charges are prorated by Stripe for partial billing periods.
- Renewal: Paid subscriptions renew automatically each billing period until cancelled.
- Refunds: Subscription fees are generally non-refundable, except as required by applicable law.
- Pricing changes:We reserve the right to change plan pricing with 30 days’ written notice.
- Payment processing:All payments are processed securely through Stripe. By providing payment information you agree to Stripe’s Terms of Service.
- Failed payments:If a payment fails, we will continue your access during Stripe’s standard retry period. If the balance remains unresolved after that period, your account is treated as lapsed under Section 3a.
3a. Downgrades, Lapsed Plans, and Suspension of Access
If your trial ends, your subscription lapses, or you downgrade to a plan that covers fewer people than you currently have, the following applies. We do not delete your data in any of these cases.
- Notice: We provide advance notice in the application and by email to account owners and admins, beginning approximately 3 days before a trial ends.
- Grace period: Access continues for a grace period of 2 days after the trial ends or the subscription lapses before any restriction takes effect.
- Staff portal access:After the grace period, staff logins beyond your plan’s limit are suspended. Suspension prevents sign-in only. Staff profiles, availability, bookings, pay records, and history are retained in full and become accessible again as soon as a sufficient plan is selected.
- Admin seats:After the grace period, admin logins beyond your plan’s included seats are suspended. The account owner is never suspended and retains access to the account and its data at all times, including while the account is read-only.
- Which accounts are affected: Where more people hold access than a plan covers, access is retained in a consistent, non-arbitrary order (owner first, then earliest granted). You may change who holds access at any time from your account settings.
- Independent contractors with multiple agencies: A staff member who also works for another organization using Logidex retains their login and their own availability calendar with that other organization. Suspension by one organization does not affect their access elsewhere.
4. Acceptable Use
You agree to use Logidex only for lawful purposes. You must not:
- Violate any applicable federal, state, local, or international law or regulation.
- Transmit or upload any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Attempt to gain unauthorized access to any portion of the platform or related systems.
- Reverse engineer, decompile, or attempt to extract source code from the platform.
- Use the platform to send unsolicited communications, spam, or automated queries not through our API.
- Impersonate another person or misrepresent your affiliation with any entity.
- Use the platform in any way that could disable, damage, or impair its availability or accessibility.
We reserve the right to remove any content and suspend or terminate any account that violates these standards without prior notice.
5. Intellectual Property
The Logidex platform, including its design, software, content, and trademarks, is owned by Logidex and protected by copyright, trademark, and other intellectual property laws.
You retain ownership of the data and content you upload to Logidex (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely to provide the service to you.
You represent and warrant that you have all necessary rights to Your Content and that it does not infringe any third-party intellectual property rights.
6. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LOGIDEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
8. Termination
You may terminate your account at any time by contacting us at taylor@logidexhq.com or through your account settings. Upon termination:
- Access:Paid access continues until the end of your current billing period, after which the account becomes read-only: you may sign in, view your data, and export it, but not create or change bookings, match staff, or operate staff portals. Read-only is not deletion — see Section 3a for what it does and does not affect.
- Fees: Subscription fees already paid are non-refundable per Section 3.
- Export before you go: You can export your roster, bookings, and contractor pay records at any time while you still have access. We recommend doing so before requesting deletion.
- Data retention: An account that becomes read-only is retained for 60 days, during which you may sign in and export your data at any time, and selecting a paid plan restores full access. After 60 days the data is permanently deleted from active systems. If you request full account deletion, the same 60-day window applies to allow recovery from accidental or disputed deletion. Backups are purged on their own rolling cycle, no later than 90 days thereafter.
- Deleting an organization: Deleting your organization removes its roster, bookings, and settings. Where a staff member also works for another organization on Logidex, their login and their own availability calendar are preserved for that other organization.
- What we may keep:We may retain records we are required to keep by law — for example invoices and payment records for tax and accounting purposes — and anonymized, aggregated data that cannot identify you or your staff.
To request deletion, email taylor@logidexhq.com from the account owner’s address.
We reserve the right to suspend or terminate your access at any time for violation of these Terms, with or without notice.
9. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the platform shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where the changes are material, provide notice to you via email or in-app notification. Continued use of the platform after any changes constitutes your acceptance of the new Terms.
