Terms of Service

1. Acceptance of Terms

By creating an account or using any part of the Logidex service, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of yourself or your organization, and have read and understood these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Account Registration

To use Logidex you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Notify us immediately at legal@logidexhq.com of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that contain false or misleading information.

3. Credit-Based Billing

Logidex operates on a credit-based billing model. The following terms apply to all credit purchases:

• Credit rollover: Unused credits roll over from month to month for as long as your account remains active. Credits do not expire as long as your subscription is in good standing.
• No refunds on unused credits: Credits are non-refundable once purchased. We do not issue refunds, credits, or exchanges for any unused credits remaining in your account at the time of cancellation or termination, except as required by applicable law.
• Pricing changes:We reserve the right to change credit pricing with 30 days’ written notice. Changes do not affect credits already purchased.
• Payment processing:All payments are processed securely through Stripe. By providing payment information you agree to Stripe’s Terms of Service.
• Failed payments: If a payment fails, access to certain features may be restricted until the outstanding balance is resolved.

4. Acceptable Use

You agree to use Logidex only for lawful purposes. You must not:

• Violate any applicable federal, state, local, or international law or regulation.
• Transmit or upload any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the platform or related systems.
• Reverse engineer, decompile, or attempt to extract source code from the platform.
• Use the platform to send unsolicited communications, spam, or automated queries not through our API.
• Impersonate another person or misrepresent your affiliation with any entity.
• Use the platform in any way that could disable, damage, or impair its availability or accessibility.

We reserve the right to remove any content and suspend or terminate any account that violates these standards without prior notice.

5. Intellectual Property

The Logidex platform, including its design, software, content, and trademarks, is owned by Modern Labyrinth LLC and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the data and content you upload to Logidex (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely to provide the service to you.

You represent and warrant that you have all necessary rights to Your Content and that it does not infringe any third-party intellectual property rights.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MODERN LABYRINTH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

8. Termination

You may terminate your account at any time by contacting us at legal@logidexhq.com or through your account settings. Upon termination:

• Your access to the platform will be revoked immediately or at the end of your current billing period, as applicable.
• Unused credits are non-refundable per Section 3.
• We will retain your data for up to 90 days after termination, after which it may be permanently deleted.

We reserve the right to suspend or terminate your access at any time for violation of these Terms, with or without notice.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the platform shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where the changes are material, provide notice to you via email or in-app notification. Continued use of the platform after any changes constitutes your acceptance of the new Terms.
